I have a pre-agreed acquisition in place where Company B will purchase 100% of the shares in Company A for a fixed amount. Both companies are UK-based, with known financials and single shareholders.
I need professional support to: • ✅ Draft or review the Share Purchase Agreement (SPA) • ✅ Confirm the availability of Business Asset Disposal Relief (BADR) • ✅ Ensure tax efficiency and advise on HMRC counteraction risks (particularly around distributable reserves and ITA 2007) • ✅ Assist with completion and any necessary filings (e.g. stock transfer forms, Companies House) • ✅ Optionally provide a brief clearance letter or summary opinion for compliance records
